CONFIDENTIALITY AGREEMENT
THYBAR CORPORATION (“Thybar”) has agreed to provide me limited access to certain Confidential Information contained on its website which is a unique and valuable asset of Thybar and, if known to competitors, it could damage Thybar. I acknowledge and agree that my access and use of Thybar’s website is on a limited basis and conditional upon my promise and agreement to strictly adhere to the following terms:
1. I will only access Thybar’s website for the purposes for which I have previously have been authorized by a representative of Thybar, who has authority to grant such permission.
2. I will keep all of the Thybar’s Confidential Information secret and I will not disclose such information to others without the prior written authorization of Thybar's President. I also will not use, disclose or misappropriate such Confidential Information for any reason.
The phrase "Confidential Information" includes, but is not limited to, the following:
• Information related to the internal affairs of the Thybar, its clients, services, products or employees including but not limited to the following: customer lists, referral lists, customer files (partial or whole), procedural checklists and review guidelines, supplier lists and files, and product formulas.
• Information related to the Thybar's methods, ways of doing business, efforts to market the Thybar's services, billing practices, catalog allowances or policies.
3. If I printed a copy of any pages of the Thybar’s website which contain any information that Thybar regards as Confidential Information, I will immediately return such documents and other information directly to Thybar and I will not retain, reproduce or share such documents with others, for any reason.
4. This Agreement is governed by the laws of the State of Illinois, and a breach of its terms by me will cause irreparable harm to Thybar. Therefore, if I breach any of the terms of this Agreement, or if I threaten such a breach, in addition to other remedies, Thybar has the right to enforce this Agreement by way of a temporary and/or permanent injunction, and I will be required to pay its legal expenses and costs incurred in bringing such an action against me in accordance with the Illinois Trade Secrets Act and/or such other applicable laws.
